Terms and Conditions of Sale

These Terms and Conditions govern the sale of goods by Opaz Investments (UK) Ltd. T/A Yorkshire Trade Warehouse ("we", "us", "our") to both business and consumer customers.

2. Definitions

Business Customer means any person or organisation purchasing goods wholly or mainly for use in connection with a trade, business, craft or profession.

Consumer means an individual purchasing goods wholly or mainly for personal use.

Goods means the products supplied by us.

Order means the Customer's request to purchase Goods.

3. Application of These Terms

These Terms apply to all sales unless otherwise agreed in writing.

Where specific rights differ between Business Customers and Consumers, those differences are identified in these Terms.

4. Orders

  • All Orders are subject to our acceptance.
  • We reserve the right to decline any Order.
  • A contract is formed only when we issue an order confirmation or dispatch the Goods, whichever occurs first.

5. Product Information

  • We make reasonable efforts to ensure descriptions, specifications and images are accurate.
  • Minor differences in colour, packaging or appearance may occur.
  • Measurements and weights are approximate unless expressly stated otherwise.

6. Prices

  • All prices are shown in Pounds Sterling (GBP).
  • Where applicable, VAT is charged at the prevailing rate.
  • Delivery charges are shown before checkout unless otherwise agreed.
  • We reserve the right to correct pricing errors before accepting an Order.

7. Payment

Consumers

Payment is required before Goods are dispatched unless otherwise agreed.

Business Customers

  • Payment terms are as agreed on the invoice or quotation.
  • Failure to pay may result in suspension of further deliveries.
  • We reserve the right to withdraw credit facilities at any time.

8. Late Payment (Business Customers)

Business Customers who fail to pay by the due date may be charged:

  • Statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Reasonable debt recovery costs where permitted by law.

9. Delivery

  • Delivery dates are estimates only.
  • Risk passes to Consumers upon delivery to the Consumer.
  • Risk passes to Business Customers upon delivery to the agreed delivery location.
  • Ownership of the Goods remains with us until payment has been received in full.

10-21. Additional Terms

Inspection of Goods, Consumer Cancellation Rights, Returns, Faulty Goods, Warranties, Limitation of Liability, Force Majeure, Intellectual Property, Privacy, Complaints, Changes to These Terms, and Governing Law apply as provided in the supplied Terms and Conditions.
